Ben Capital — Terms & Conditions

1. Introduction
These Terms of Use (“Terms”) govern your access to and use of the decentralized applications, software interfaces, smart contracts, protocols and related technology made available by Ben Capital AB registered within the Swedish Companies Registrar with Org. 559517-4102 (“Ben Capital”, “we”, “us” or “our”) through our website and supported mobile and web applications (collectively, the “dApp”).
By accessing or using the dApp, you acknowledge that you have read, understood and agreed to these Terms. If you do not agree with these Terms, you must not use the dApp.
2. Nature of the dApp
Ben Capital provides software, interfaces and technological infrastructure designed to enable users to interact with blockchain networks and smart contracts. The dApp is designed to operate in a decentralized and non-custodial manner. Ben Capital does not take possession or custody of users' crypto-assets and does not receive, hold or control users' private keys, seed phrases or wallet credentials. Users connect their own self-custodied wallets to the dApp using supported third-party wallet connectivity infrastructure, including Reown AppKit / WalletConnect. Ben Capital does not have access to users' private keys or seed phrases and cannot independently access, transfer or recover crypto-assets held in users' wallets.
3. User-Controlled Wallets
Users are solely responsible for maintaining the security and confidentiality of their wallet, private keys, seed phrases, passwords, authentication methods and other wallet credentials. Ben Capital will never request or require a user's private key or seed phrase.
Loss, theft, disclosure or compromise of a user's private key, seed phrase or wallet credentials may result in permanent and irreversible loss of crypto-assets. Ben Capital is not responsible for losses resulting from the user's failure to properly secure their wallet or wallet credentials.
4. User-Initiated Transactions
Transactions performed through the dApp are initiated and authorized by the user through the user's own wallet. The user is responsible for reviewing transaction details, recipient addresses, amounts, fees, smart-contract interactions and other transaction parameters before approving a transaction. Once a blockchain transaction has been signed and submitted, it may be irreversible. Ben Capital does not guarantee that a blockchain transaction can be cancelled, reversed or recovered.
5. Smart Contracts and Programmable Fees
Certain functionality made available through the dApp is implemented through blockchain smart contracts. The smart contracts may contain predetermined, programmable transaction fees.
Unless otherwise stated in the relevant interface, a 1% BXC Network Fee may be deducted in connection with eligible transactions, including supported swaps or transfers initiated through the dApp. Where applicable, the fee is calculated and enforced by the relevant smart contract according to its programmed logic.
The applicable fee is not determined on an individual basis by Ben Capital after a transaction has been initiated and is not intended to constitute discretionary management of a user's assets.
The BXC Network Fee is separate from blockchain network transaction fees (“gas fees”) and any fees that may be charged by third-party decentralized exchanges, liquidity providers, aggregators, wallet providers or other third-party infrastructure. Users should review the applicable transaction and fee information before approving a transaction.
6. No Custody of User Assets
Ben Capital does not provide custodial wallet services. Crypto-assets remain under the control of the user's wallet and are not deposited with, held by, or managed by Ben Capital. Ben Capital does not maintain possession of users' crypto-assets for safekeeping and does not have unilateral authority to transfer assets from users' wallets.
7. No Investment Management
Ben Capital does not accept deposits of crypto-assets or fiat currency from users for investment or discretionary management. Ben Capital does not manage users' portfolios, invest users' funds, or make investment decisions on behalf of users. Users independently determine whether to initiate, approve, hold, exchange, transfer or otherwise interact with crypto-assets through their own wallets. Nothing on the dApp should be interpreted as a promise, guarantee or representation that any crypto-asset will increase in value or generate a return.
8. No Investment Advice
The dApp and its contents do not constitute investment advice, financial advice, portfolio management, trading advice, tax advice or a recommendation to purchase, sell or hold any crypto-asset. Users are solely responsible for their own decisions concerning crypto-assets.
9. Decentralized Infrastructure
The dApp may interact with decentralized blockchain networks, smart contracts, decentralized exchanges, liquidity protocols, aggregators and third-party wallet infrastructure. Ben Capital does not control the underlying blockchain networks and cannot guarantee their availability, security, performance, transaction finality or continued operation. The use of third-party decentralized infrastructure may also be subject to separate terms, risks and fees imposed by those third parties.
10. Regulatory Status
Ben Capital's services are intended to function as software and technological infrastructure enabling users to interact directly with blockchain networks and smart contracts through their own self-custodied wallets.
Ben Capital does not represent that it provides custody, investment management or discretionary management of users' crypto-assets. The decentralized and non-custodial nature of the dApp is intended to mean that users retain control over their assets and transaction authorization.
However, the regulatory classification of any activity depends on the actual structure, operation and control of the relevant service and applicable law. Nothing in these Terms constitutes a legal determination that Ben Capital or any particular functionality is outside the scope of Swedish or EU financial regulation.
Where applicable, users should independently assess whether the services available through the dApp are suitable and legally available to them in their jurisdiction.
11. No Guarantee of Regulatory Availability
The availability of the dApp does not constitute a representation that the dApp or any particular functionality is available for use in every jurisdiction.
Ben Capital may restrict, suspend or discontinue access to particular functionality or jurisdictions where required by applicable law or where Ben Capital considers such restriction appropriate. Users are responsible for determining whether their use of the dApp is lawful in their jurisdiction.
12. Blockchain Risks
Blockchain technology involves substantial risks, including but not limited to:
- irreversible transactions;
- loss or theft of private keys;
- smart-contract vulnerabilities;
- malicious or fraudulent smart contracts;
- network congestion;
- blockchain reorganizations or failures;
- oracle failures;
- liquidity risks;
- price volatility;
- slippage;
- transaction failures;
- unexpected gas costs;
- third-party protocol failures; and
- regulatory or legal changes.
Users acknowledge and accept these risks before using the dApp.
13. Third-Party Services
The dApp may rely upon third-party infrastructure, including wallet providers, wallet-connectivity providers, decentralized exchanges, liquidity providers, blockchain networks, RPC providers, aggregators and other technological services. Ben Capital does not control the operation of such third-party services and is not responsible for their availability, security, performance, fees, policies or failures. Users may be required to accept separate terms and conditions applicable to such third-party services.
14. No Custodial or Investment Relationship
Use of the dApp does not create a custodial, fiduciary, investment-management, advisory or asset-management relationship between the user and Ben Capital. The user's interaction with the dApp is undertaken at the user's own initiative and risk.
15. Fees and Commercial Model
Ben Capital may monetize the software and decentralized infrastructure through programmable transaction fees associated with the dApp. Where a BXC Network Fee applies, the applicable fee is disclosed through the relevant smart-contract logic and/or transaction interface. The collection of such fees constitutes compensation for the development, maintenance and continued operation of the Ben Capital technology and ecosystem.
16. User Responsibility
By using the dApp, you acknowledge that you:
- control your own wallet and private keys;
- are responsible for reviewing every transaction before signing;
- understand that blockchain transactions may be irreversible;
- accept the risks associated with smart contracts and decentralized protocols;
- are responsible for complying with laws applicable to you;
- understand that Ben Capital does not hold your crypto-assets or private keys; and
- understand that Ben Capital does not invest or manage your crypto-assets on your behalf.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Ben Capital shall not be liable for losses arising from blockchain network failures, smart-contract vulnerabilities, compromised wallets, lost private keys, incorrect addresses, transaction errors, market movements, third-party protocol failures, unauthorized access to user wallets, or other risks inherent to decentralized blockchain technology. Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
18. Acceptance
By connecting a wallet to the dApp, initiating a transaction, or otherwise using the dApp, you acknowledge that you have read and understood these Terms and accept the risks associated with interacting with decentralized blockchain technology.
If you do not agree with these Terms, do not connect your wallet or use the dApp.
